Failed US Startup: Claiming the Loss on Your Canadian Return

A Canadian resident's loss on shares of a failed Delaware startup is a capital loss, not an allowable business investment loss, because only a Canadian-controlled private corporation qualifies. 50% of it offsets taxable capital gains only, carried back to the three preceding tax years or forward. Claim it when the company dissolves, or earlier by election once it is insolvent and has stopped business.
